These terms are an agreement between PFM Design LLC, a Michigan limited liability company, doing business as PartScheduler (“we”, “us”), and the shop that uses PartScheduler (“you”). They cover the PartScheduler app at app.partscheduler.com, and the website at partscheduler.com.
Your shop accepts these terms when someone with authority to act for it agrees to them: in writing with us, or by turning on the agreement switch on our signup page. The people your shop lets into the App use it under that acceptance. Reading the Website does not make you a customer; section 3 says which parts of these terms apply to that.
The short version
Your shop owns its data. We host it; our database provider backs up its records every day, but those backups do not include uploaded files. We do not sell your data, the App sends none of it to an AI service, and we do not use it to train AI. Every shop picks its plan when it signs up and starts with a 60-day free trial. When the trial ends, we charge the card it signed up with for the monthly or annual plan it is on, unless the Owner cancels first or has bought lifetime; we email the Owner before that day. Your plan and your price are the ones shown at Checkout, and your money-back guarantee is the one shown when your shop signed up. Your shop’s Owner can cancel any time by telling us, or with the cancel button in the App where it appears. Unless a money-back guarantee refunds you, you keep full access until the end of the period you paid for. If your shop leaves, we keep its data until the Owner asks us to delete it, and we send a full copy first if the Owner wants one. PartScheduler shows what is due and what is late, but it cannot make a job ship on time, and its previews are not manufacturing references. These terms cap our total liability at what your shop paid us in the 12 months before a claim or, for a lifetime plan, what it paid for that plan, if that is more. Michigan law governs, and disputes go to courts in Michigan. If this box and the terms below ever disagree, the terms below win.
1. Who these terms are with
These terms are between PFM Design LLC and the business that uses the Service. PartScheduler is for business use only: running a shop, not personal or household use.
Whoever accepts these terms for the shop must be 18 or older and must have the shop’s authority to accept them, and, by accepting, promises that they do. That person need not be the Owner; a bookkeeper or office manager may accept for the Owner.
2. Definitions
- We, us
- PFM Design LLC, doing business as PartScheduler.
- App
- The PartScheduler app at app.partscheduler.com.
- Website
- The website at partscheduler.com.
- Service
- The App, the Website, and the support we give for them.
- Shop, you
- The business that has accepted these terms to use the App. Where section 3 applies these terms to the Website, “you” also means a visitor.
- Owner
- The person who holds the owner role in your shop’s App account. There is one per shop. Notices to you go to the Owner’s email address, and only the Owner can cancel, ask for a full copy, or ask us to delete Shop Data. section 4 says how to change who it is.
- Users
- The people your shop lets use the App under its account: everyone with their own login, and everyone who uses a shop-floor station login.
- Shop Data
- Everything your shop and its Users put into the App (jobs, purchase orders, parts, customers, vendors and their contacts, materials, piece counts and notes) and the records the App keeps of that work, such as job history. Files are part of Shop Data.
- Files
- Prints, PDFs, CAD models, photos, spreadsheets and other documents uploaded to the App, and the previews and thumbnails made from them.
- Checkout
- The pages where your shop signs up, chooses a plan or buys one: our signup page, Stripe’s payment page, and the Billing page in the App, each as it read when you used it.
3. The Service
PartScheduler is a web app for scheduling and tracking work in a small machine shop. It runs in a web browser; there is nothing to install. It tracks each job from purchase order to shipment, shows work on a whiteboard-style board and on a machine-queue board for the floor, keeps part files with prints and CAD models (with thumbnails, a 3D viewer and PDF previews in the browser), counts pieces at each operation, tracks material, and reports on-time delivery.
It is deliberately not an ERP: it does no accounting, quoting, inventory or payroll, and it does not bill your customers or take payments from them.
The Service changes over time: we may add, change or remove features.
Using the Website
Reading the Website does not make you a customer. Only sections 13, 17, 19, 20, 24, 25 and 26 apply to that use. The Website keeps nothing you type into it; its free-trial buttons and box lead to our signup page in the App. How we handle personal information is on the Privacy page.
4. Accounts and the people who use them
Your shop decides who gets a login and what each person can do, and it answers for what its Users do in the App.
Everyone in your shop’s account has one role: owner, admin, scheduler, operator or viewer. The Owner handles billing and is the only one who can change a role; the Owner and admins add people.
Removing people who leave is up to your shop. To remove someone fully, the Owner or an admin archives them in the App. Suspending a login is not enough: it does not stop that person’s PIN working at stations.
Changing the Owner. The App cannot change who the Owner is; to move the owner role to someone else, get in touch. We make the change by hand once the current Owner confirms it or, if that is not possible, once someone shows us they can act for the shop.
We allow and expect shared station logins. A computer on the shop floor can sign in as a station rather than as a person. Each person working at a station enters their own PIN where they record work, so the work carries their name. Do not use another person’s PIN. A station stays signed in for up to 30 days between uses, and up to 90 days in all, so keep station computers and tablets where only your people can reach them.
Keep passwords and PINs away from anyone outside your shop. Tell us promptly if you think someone has used a login they should not have. We may suspend a login, or sign it out everywhere, if someone is misusing it or it looks compromised, and we will tell the Owner.
5. Plans, fees and payment
Your plan and its price are the ones shown at Checkout when you sign up, choose a plan or buy one. Checkout and these terms together make up the agreement between us (section 26).
The free trial. Every shop that signs up on our signup page starts with a free trial of 60 days and gives a card at signup. The shop picks its plan on the signup page: monthly, annual or, where we offer one, lifetime. The free trial ends 60 days after the day your shop signs up. When it ends, we charge that card for the monthly or annual plan the shop is on, unless the Owner has canceled before then (section 7) or has bought a lifetime plan. We may extend a free trial, for example while a payment for a lifetime plan from a bank account clears and, if that payment fails, for a short time after. We email the Owner before the free trial ends. There is one free trial per business, whatever email address signs up. We may turn down a signup from an address that has already had one, or that already signs in to PartScheduler, and we may end a free trial that we find is a second one for the same business.
Monthly and annual plans renew automatically at the end of each billing period until you cancel (section 7), and we charge each renewal to the payment method on file. If your shop picks the annual plan at signup, or the Owner switches to it on the App’s Billing page during the free trial, we charge the annual price, instead of the monthly one, when the free trial ends.
A lifetime plan, where we offer one, can be bought only during the free trial. It is a one-time payment, charged when you buy it. Picking lifetime on our signup page does not buy it. Your shop’s free trial then runs on the monthly plan, and if the Owner has not bought lifetime on the App’s Billing page when the free trial ends, the monthly plan starts and we charge for it. Buying a lifetime plan ends your monthly or annual plan, so nothing further is charged for that plan. A lifetime plan gives your shop access to the App for as long as we offer it, with nothing further to pay for that plan. It belongs to the shop that bought it, and it can move to someone else only with a sale of that shop’s business, after you tell us.
Per shop, not per person. We price plans per shop, with no limit on how many Users your shop has.
Shops that pay nothing by arrangement. If your shop uses the App without charge under a separate arrangement with us, outside a free trial, we tell the Owner before that changes, and at least 30 days before any charge. A free trial is not such an arrangement: it ends, and the card is charged, as this section describes.
Payment. When you buy a plan, you pay on Stripe’s own payment page, and Stripe processes the payment. We never see or store your card number.
Taxes. Our prices exclude applicable sales tax and similar taxes. Where we are required to collect one, we add it to your charge, and your invoice shows it.
Price changes take effect only at a renewal, and we email the Owner at least 30 days before. If you do not want the new price, you can cancel before it takes effect. A lifetime plan has nothing further to pay, so a price change does not touch it. A shop that subscribes at a launch price, $199 a month or $1,990 a year, keeps that price for as long as its subscription continues; the price changes above do not apply to it.
6. The money-back guarantee
We honor the money-back guarantee that Checkout showed when your shop signed up, as shown there and on the conditions in this section, including the rule below that it applies once per business. It counts from the day your shop signed up, and it covers what your shop pays in that time on any plan, including a plan it chooses or buys later on the App’s Billing page, such as annual or lifetime. Unless that guarantee says otherwise, the refund is what you paid less the payment processing fees on those payments, which our payment processor does not return to us.
To use it, cancel within the period the guarantee states: with the cancel button on the App’s Billing page, where it appears, or by getting in touch (the Get in touch button on this website, or the question-mark help button in the App). The refund goes back to the original payment method where our payment processor allows it. Where it does not, for example for a payment from a bank account more than 180 days old, we pay it back to you another way and tell you how.
A refund under the guarantee ends the plan it refunds. When you cancel under the guarantee, your shop’s account turns read-only: your Users can still see and print its data, and nothing is deleted. We then keep or delete your Shop Data as section 10 describes.
The money-back guarantee applies once per business. A payment that a bank takes back from us in a chargeback we lose counts as the guarantee refund of the business that made the payment. A shop that belongs to a business, owner or payer that has already had a guarantee refund, under any email address, card, bank account or shop name, does not get a second one: we may decline its refund, or look at it before we pay it. A refund we look at is judged on the day the Owner first asked for it, so the time we take never costs your shop its guarantee. A shop refunded under the guarantee that wants to use PartScheduler again gets in touch with us. Before its plan starts again, it repays the amount we refunded, and it gets no new guarantee.
Apart from that guarantee, we do not refund partial periods. Canceling stops future charges; it does not refund the current period.
7. Canceling
Your shop’s Owner can cancel any time: with the cancel button on the App’s Billing page, where it appears, or by telling us with the Get in touch button on this website or the help button in the App. If a request to cancel does not come from the Owner’s login or email address, we check with the Owner before acting on it.
During a free trial, canceling ends your plan when the free trial ends. You keep access until then, and we charge you nothing. If you asked us to cancel before the free trial ended and a charge still went through, we refund it in full. That refund is separate from the money-back guarantee, and nothing is held back for payment processing fees.
After a free trial, while a money-back guarantee still applies, canceling uses that guarantee: we refund you as section 6 describes, and your account turns read-only when you cancel.
At any other time, canceling takes effect at the end of the period you have paid for; you keep full access until then, and we do not charge you again. If a renewal charge goes through after you told us to cancel, we refund it.
A lifetime plan does not renew. While its money-back guarantee applies, canceling ends it with a refund, as above; after that there is nothing to cancel. What happens to your data after you leave is in section 10.
8. Late or failed payment
If a payment fails or a bill goes unpaid, we email the Owner before anything about your account changes.
If it stays unpaid, we may limit the account, for example to read-only. Your plan stays in place while it is unpaid, so if your shop later pays to bring the account back, it pays every bill left unpaid, including the bills for the months the account was limited. We never delete your data because of non-payment, and your shop can still get a copy of it (section 10).
9. Your data
As between your shop and us, your shop owns its Shop Data, Files included. We claim no ownership of any of it.
You give us a limited license to host, store, copy, process, back up and display Shop Data, including making previews and thumbnails of CAD files and PDFs, only as needed to provide the Service to you and to give you support. That license ends when we delete the data under section 10, except for backup copies until they age out.
We do not sell Shop Data. The App has no AI features and sends Shop Data to no AI service, and we do not use Shop Data to train AI models. We share Shop Data only with the providers that help us run the Service (listed on the Privacy page), with a buyer of our business under these same terms (section 26), or when the law requires us to.
PartScheduler staff look at a shop’s data only to give support, fix a problem, keep the Service running, or when the shop asks. That access is not recorded in your shop’s security log, and nothing in the App lets you review it. The Privacy and Security pages say more.
If we learn that your Shop Data has been exposed, we tell the Owner promptly and say what we know.
10. Getting your data out, and deletion
While your shop uses the App, you can download some of its data yourself:
- the jobs list, as a CSV file;
- the on-time delivery report, as a CSV file;
- any File, one at a time.
The App offers no other downloads today. For a full copy of your Shop Data, the Owner can get in touch and we will send one: your records as spreadsheet (CSV) files, and your Files as uploaded.
After you leave
When your shop stops using the Service, we keep its Shop Data until the Owner asks us to delete it. If the Owner wants a full copy before we delete, we send it first.
We delete it by hand within 30 days of the Owner’s request: from our database, from file storage and from any working copies we hold, together with your shop’s logins and the security log kept for them. We confirm to the Owner when we have finished. Backup copies age out within 30 days of the deletion.
Some records sit with our providers and follow their schedules, not ours: our host’s request logs, error reports at Sentry, and email records at Resend. We may also keep records the law requires, such as billing records, and our email with you, including help messages that reached our support mailbox. We also keep your shop’s signup record, so that the same email address cannot start a second free trial, and when we delete a shop we keep a short internal record of the deletion, which includes any answers the Owner gave to the survey that comes with canceling. The Privacy page says what each holds.
11. Your responsibilities for what you enter
You are responsible for the Shop Data you enter and for having the right to enter it. That includes your own customers’ and vendors’ contact details, and the prints and models your customers send you.
The App credits work to named people: job history records who changed what, and work recorded at a station carries the name of the person whose PIN was entered. How you use per-operation piece counts and job history with your own staff is your responsibility, including any notice employment law requires.
Keep your own copies of anything you cannot afford to lose, above all your original Files, since our backups do not include them. The downloads in section 10 help, and the Owner can ask us for a full copy at any time while your shop uses the App.
12. Export-controlled data
The Service is not designed, certified or approved for export-controlled technical data, or for Controlled Unclassified Information (CUI). Export-controlled here means technical data controlled under the International Traffic in Arms Regulations (ITAR), or technology listed on the Commerce Control List under the Export Administration Regulations (EAR), meaning technology with an export classification other than EAR99. Do not upload it.
Your shop decides whether it may lawfully store a drawing or model with us. We make no ITAR or Cybersecurity Maturity Model Certification (CMMC) attestation, and we hold no certification for either.
13. Acceptable use
Do not, and do not let anyone else:
- look at, copy or change another shop’s data, or open any part of the Service that is not yours to use;
- probe, scan or load-test the Service without our written permission;
- overload the Service, or interfere with how it runs for other shops;
- reverse engineer or decompile the Service, except where the law, or an open-source license covering that part, allows it;
- scrape the App, or pull data from it with automated tools beyond the downloads it offers (ask us for a full copy instead);
- resell or rent access to the Service.
Do not, and do not let anyone else, upload malware, any file meant to cause harm, or anything that infringes someone else’s rights. Do not use the Service, or let anyone else use it, for anything unlawful or to store unlawful content.
14. Third-party services
Stripe. Stripe’s own terms and privacy policy cover payments made on its payment page.
Google Maps. Google Maps provides the address suggestions that appear as you type an address, and the Google map that loads when you open one, beside an address or in the company details panel on the shipping page. Those features are subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
The Privacy page lists the other providers that help us run the Service.
15. Availability, backups and support
Expect the App to be down now and then: while we update it, or when something fails on our side or at one of our providers. We promise no particular uptime, and there is no service-level agreement.
Our database provider backs up the database every day and keeps each backup for 7 days. That covers your records, such as jobs, parts and customers, and a failure could lose up to 24 hours of that work. Uploaded Files are not in those backups. The Security page says whether we keep a backup outside that provider and whether we have rehearsed restoring one. Removing a print, model or other File from a job or part archives it rather than erasing it. section 11 says what to keep copies of yourself.
For support, use the Get in touch button on this website or the help button in the App. We answer as soon as we can, but we do not promise a response time.
16. Previews and schedule information
CAD thumbnails, the 3D viewer and PDF previews are made automatically, and they can be wrong or incomplete. They help you find and recognize a part; they are not manufacturing references. Always machine and inspect to your controlled drawing, at its current revision.
Schedules, due dates and what the App shows as late are only as accurate as the data your shop enters.
17. Our software and your feedback
We and our licensors own the Service (the software, its design and the Website) and everything we build into it. These terms transfer none of it to you. Some parts of the software are open source and come under their own licenses; nothing in these terms limits what those licenses let you do with those parts.
For as long as your shop has access to the App, we give it a limited, non-exclusive right to use the App for its own business. That right can move to someone else only with a sale of your shop’s business, after you tell us (section 26).
If you send us ideas or feedback, we may use them freely, without owing you anything.
18. Confidentiality
We treat your Shop Data as confidential. You keep confidential anything we tell you is confidential, such as features we show you before we release them. Nothing in these terms stops you from saying what you think of PartScheduler or from reporting a problem.
Neither of us has to keep confidential information that is already public through no fault of the side that received it, or that the law requires that side to disclose.
19. Disclaimers
We provide the Service “as is” and “as available.” It will have bugs and the occasional outage, and it cannot make any job ship on time.
To the extent the law allows, we make no promises beyond those in these terms and at Checkout, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
20. Limitation of liability
To the extent the law allows, we are not liable for:
- indirect, incidental, special, consequential or punitive damages;
- lost profits, lost revenue or lost customers;
- late or missed deliveries;
- scrapped or remade parts;
- machine downtime;
- lost or corrupted data (what our backups do and do not cover is in section 15).
Our total liability for all claims about the Service is capped at the amount your shop paid us in the 12 months before the claim or, if your shop holds a lifetime plan, the amount it paid for that plan, whichever is greater.
Nothing in these terms limits liability that the law does not allow to be limited.
21. Indemnity
If someone makes a claim against us because of Shop Data your shop had no right to upload, an export-control violation by your shop (section 12), or your shop’s breach of section 13, your shop will cover our resulting losses and reasonable costs, including legal fees. We will tell you about the claim promptly and let you take part in handling it.
22. Suspension and termination by us
Three things can lead us to suspend or end your shop’s access: a serious breach of these terms, a legal requirement, or a security risk to the Service or to other shops. Unpaid bills fall under section 8, not this section.
Where practical, we tell the Owner first and give you a chance to fix the problem. Ending your access does not end your right to a copy of your Shop Data under section 10.
23. If we stop offering the App
If we stop offering the App, we give the Owner at least 60 days’ notice by email and help you get a full copy of your Shop Data. A lifetime plan lasts as long as we offer the App, so it ends then.
24. Changes to these terms
Before a material change to these terms takes effect, we email the Owner at least 30 days ahead, and the date at the top of this page moves whenever the text changes. Using the Service after a change takes effect means you accept it.
If you do not accept a material change, tell us before it takes effect. On a subscription, the terms you agreed to keep applying until the end of your paid period, and the subscription then ends.
25. Michigan law and courts
Michigan law governs these terms, without regard to its conflict-of-law rules. Any dispute about them or the Service goes to the state or federal courts located in Michigan, and both sides agree to those courts’ jurisdiction.
26. General
How these terms fit together:
- Entire agreement. These terms and the Checkout you bought through are the whole agreement between us about the Service. The Privacy page describes how we handle personal information.
- Order of precedence. Checkout governs the plan, the price and the money-back guarantee; these terms govern everything else, including the free trial. If Stripe’s payment page shows terms of its own, those cover payment processing only.
- Severability. If a court finds part of these terms unenforceable, the rest still applies.
- No waiver. If either of us does not enforce a term right away, that does not give up the right to enforce it later.
- Survival. Sections 9, 10, 17, 18, 19, 20, 21, 25 and 26 continue after your shop’s access ends, and so does anything already owed.
Dealing with each other:
- Assignment. We may transfer these terms as part of a merger or a sale of all or most of our business, and we will tell the Owner. Your shop may transfer them only with a sale of its business, after telling us.
- Force majeure. Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as power or internet outages, fire, flood, storms, war, strikes or government action. This does not excuse fees already owed.
- Independent parties. We are independent businesses. These terms do not make either of us the other’s partner, agent or employee.
- Notices. Notices to us go through the Get in touch button on this website or the help button in the App, and take effect when we receive them. Notices to you go to the Owner’s email address.
